Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of africaafya.co.ke, the AfyaRad teleradiology marketplace, and AfyaRad Community (collectively, the "Services"), operated by Africa Afya Healthcare Limited ("Africa Afya," "AfyaRad," "we," "us," or "our"), a company incorporated under the laws of Kenya.

By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

A note on how our agreements fit together. AfyaRad serves three distinct groups — Facilities, Teleradiologists, and AfyaRad Community members — each under a relationship suited to what they actually do on the platform. These Terms set out the rules that apply to everyone who uses any part of our Services. Facilities and Teleradiologists additionally sign a dedicated agreement during onboarding — the Facility Service Agreement or the Teleradiologist Independent Contractor Agreement respectively — which governs the specific commercial relationship between that party and AfyaRad in more detail (turnaround times, payment, termination, and so on). Where a signed onboarding agreement and these Terms address the same point differently, the signed onboarding agreement controls for that relationship, and these Terms apply to everything it does not cover.

Part A — General Terms (Everyone)

A1. Who Can Use the Services

You must be at least the age of legal majority in your jurisdiction, or have the consent of a parent or guardian where applicable law permits, to use the Services. AfyaRad Marketplace is restricted to licensed healthcare professionals and authorised facility representatives who have completed our onboarding and credentialing process. AfyaRad Community is open to medical students, radiology trainees, practising radiologists, and other healthcare professionals with a genuine interest in radiology education.

A2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account. Facility accounts must designate which individuals are authorised to submit studies and receive reports on the Facility's behalf; the Facility is responsible for the conduct of its authorised users.

A3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Misrepresent your identity, qualifications, professional credentials, or, for Facilities, your registration or licensing status
  • Attempt to gain unauthorised access to any part of the Services, other users' accounts, or our systems
  • Upload, post, or transmit any content that infringes the intellectual property, privacy, or other rights of any third party
  • Use automated means (scraping, bots, or similar) to access or extract data from the Services without our prior written consent
  • Interfere with or disrupt the operation of the Services
  • Re-identify, attempt to re-identify, or take any action intended to reveal the identity of any patient associated with content on the Services, including on AfyaRad Community

A4. Intellectual Property

The Services, including all software, design, branding, AI-assisted features, and associated documentation, are owned by Africa Afya Healthcare Limited or our licensors and are protected by intellectual property laws. Except as expressly permitted under these Terms or a signed onboarding agreement, you may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

A5. Disclaimers

The Services are provided "as is" and "as available." We make no warranty that the Services will be uninterrupted or error-free. See our separate Disclaimer page for clinical and medical-content disclaimers specific to AfyaRad Marketplace and AfyaRad Community.

A6. Limitation of Liability

To the fullest extent permitted by Kenyan law, Africa Afya Healthcare Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Services. For Facilities and Teleradiologists, liability is further addressed in the relevant signed onboarding agreement. For AfyaRad Community members, our total aggregate liability under these Terms shall not exceed one hundred United States dollars (USD 100), reflecting that AfyaRad Community is provided free of charge.

A7. Indemnification

You agree to indemnify and hold harmless Africa Afya Healthcare Limited, its officers, employees, and agents from any claim, liability, or expense arising out of your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party right.

A8. Termination

We may suspend or terminate your access to the Services for breach of these Terms, suspected fraud or abuse, conduct that compromises patient safety or platform integrity, or as otherwise set out in your signed onboarding agreement, if applicable.

A9. Governing Law and Disputes

These Terms are governed by the laws of Kenya. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, save where a signed onboarding agreement specifies a mediation step beforehand, as described in Part B and Part C below.

A10. Changes to These Terms

We may update these Terms from time to time, posting the revised version on this page with an updated date. Where changes are material, we will take reasonable steps to notify affected users. Changes to a signed onboarding agreement follow the notice procedure set out in that agreement, not this clause.

A11. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. For AfyaRad Community members, these Terms, our Privacy Policy, and our Disclaimer constitute the entire agreement. For Facilities and Teleradiologists, the entire agreement also includes the signed Facility Service Agreement or Teleradiologist Independent Contractor Agreement respectively, as described above.

Part B — AfyaRad Marketplace: Facilities

B1. Onboarding and the Facility Service Agreement

Hospitals, clinics, and imaging centres ("Facilities") wishing to submit studies through AfyaRad must complete our onboarding process, including verification of facility registration and licensing documentation, and must read and accept the AfyaRad Facility Service Agreement before account activation. The Facility Service Agreement sets out, in full, the turnaround times we target, the fees and payment terms that apply, the quality assurance process, data protection obligations, and the term and termination provisions governing the relationship. A copy is provided during onboarding and is available on request from info@africaafya.co.ke.

B2. Pricing and Payment

AfyaRad operates on a per-study pricing model, with rates depending on imaging modality and the turnaround tier selected (STAT, Urgent, or Routine). Current indicative starting rates are X-ray from KES 800, ultrasound from KES 1,200, CT from KES 2,500, and MRI from KES 3,500; exact pricing is confirmed before each submission. Volume discounts and prepaid study bundles are available on request.

Payment methods are being rolled out progressively by country. In Kenya, Facilities can currently pay via M-Pesa direct to our company bank account, bank transfer, or invoice on Net 30 terms. We are actively expanding payment options for Nigeria to include multiple convenient local methods, with further countries to follow over time. Available methods for your country are confirmed during onboarding.

B3. Clinical Responsibility

AfyaRad facilitates the delivery of radiology reports; it does not itself practise medicine. The reporting Teleradiologist bears full professional and legal responsibility for every report produced through the platform. AI-assisted features within AfyaRad Marketplace (including smart-phrase suggestions, study-specific templates, and per-user learning) are assistive tools only and do not independently diagnose any condition.

Part C — AfyaRad Marketplace: Teleradiologists

C1. Onboarding and the Independent Contractor Agreement

Radiologists joining the AfyaRad network ("Teleradiologists") must complete our credentialing process, including submission of identity documents, professional qualifications, licensure details, and, where applicable, evidence of professional indemnity insurance, together with a notarised professional declaration. Teleradiologists must read and accept the AfyaRad Teleradiologist Independent Contractor Agreement before account activation. That Agreement sets out, in full, the nature of the engagement (independent contractor, not employment), service and turnaround obligations, professional standards and quality assurance participation, payment terms, and termination provisions. A copy is provided during onboarding and is available on request from info@africaafya.co.ke.

C2. Professional Standards

Teleradiologists must hold and maintain valid, unrestricted registration with their relevant professional or licensing body, must notify AfyaRad immediately of any change to their licence status, and bear sole professional responsibility for the clinical accuracy of every report they sign. We reserve the right to suspend or remove any Teleradiologist from the network for licensure, conduct, or quality reasons in accordance with the Independent Contractor Agreement.

Part D — AfyaRad Community

D1. Description of Service

AfyaRad Community is a free educational platform where members read anonymised, de-identified radiology cases, submit their own written interpretation, and compare it against the original report or finding. Cases are sourced from AfyaRad's own network radiologists, with patient identity fully removed prior to posting, and from properly licensed, already-published academic case reports under permissive open licences.

D2. No Clinical Use

AfyaRad Community is an educational tool only. It must not be used to make, support, or inform any actual clinical decision regarding a real patient.

D3. Member Conduct

In addition to the general Acceptable Use terms in Part A, AfyaRad Community members agree to submit their own genuine, good-faith interpretation of each case; not share or redistribute case content outside the platform without permission; not create multiple accounts to circumvent posting limits or moderation actions; engage respectfully with other members; and flag content that raises a safety or anonymisation concern.

D4. Member-Submitted Content

If you propose or submit a case for posting, you confirm you have the right to share the underlying content and that it has been properly de-identified, and you grant Africa Afya Healthcare Limited a non-exclusive, worldwide, royalty-free licence to host and display it within AfyaRad Community. Submissions are subject to review and may be declined or removed at our discretion.

D5. Externally Sourced Content

Some cases are sourced from third-party academic publications under open licences such as Creative Commons Attribution. Where applicable, we display attribution to the original source and licence on the case page.

D6. No Fees, for Now

AfyaRad Community is currently provided free of charge. We reserve the right to introduce premium features in the future, subject to separate terms before any payment is required.

D7. Professional Network Conversion

Members who consistently demonstrate strong performance may be invited to apply for AfyaRad's professional Teleradiologist network, subject to the full credentialing process and Independent Contractor Agreement described in Part C. Participation in AfyaRad Community does not itself guarantee admission to the professional network.
